Assistant Manager, Corporate Governance Secretariat

Role Objective

Providing support services for the Board, implementing company secretarial processes and systems for the Group to help ensure good management of the organisation and compliance with statutory and regulatory requirements under the Companies Act, ACRA and MAS regulations.

Job Duties

  • Perform full spectrum of company secretarial duties, corporate governance and compliance functions for listed company and private subsidiaries 
  • Prepare annual / interim reports, announcements and circulars
  • Organise board meetings, board committee meetings and shareholders' meetings
  • Handle corporate transactions and ad hoc projects
  • Monitor compliance with the Companies Act, ACRA and MAS regulations, applicable laws and regulations and implement compliance procedures as required
  • Maintain and update company secretarial records, registers and statutory filings
  • Liaise with professional advisors and various regulatory bodies

Requirements

  • Degree holder in relevant disciplines and CSIS/CGI qualification
  • At least 8 years of company secretarial experience gained from sizable professional firms or listed companies, experience within a listed environment is an advantage
  • Well-versed in Companies Act, ACRA and MAS regulations
  • Good interpersonal and communication skills
  • Excellent command of written and spoken English, and preferably a good written and spoken second language
  • Mature, well-organized, self-motivated, detail-minded and able to work independently 

Remuneration

We offer a 5-day work week and an attractive remuneration package commensurate to the right candidates with qualifications and working experience.
